Invitation to Bid for Procurement of Olympus Phase Contract Microscope (Model CX-41)

Innovative Research Systems (Pvt) Ltd requires quotations for purchase of items “Olympus Phase Contrast Microscope Model CX41 with trinocular tybes”

Closing Time: Friday, 1200Hrs: October 21, 2013

Offers:
- Offers must comply with terms & Conditions as per (Annex A, B & C ) listed below.
- Preference would be made to the earliest possible delivery.
- All quotations to be marked with IRS/PROC/2013/4/2 and addressed to:

Items Needed:
IRS wishes to procure item “Olympus Phase Contrast Microscope Model CX41 with trinocular tubes”, as per attached (Annex B).

Mandatory Requirements:
1. Supply of One Olympus Phase Contrast Microscope Model CX41
2. Provide 2 year free parts replacement and service warranty.
3. Must have a head office in Islamabad for quick service response.
4. Must provide training to a staff of 10 for use and maintenance of the microscope and its phase contrast attachments immediately after delivery.
5. The offers must reach the office by 12:00 pm , 21st October 2013
6. Delivery must be made within 2 weeks of the award of contract.
7. Price is inclusive of all taxes and freight, (door step delivery price)
8. Suppliers must be registered with sales tax and income tax departments with proven supply record of such high tech medical equipment and training.

Submission of Offers:
- Offer must be made in accordance with the instructions contained in this invitation.
- Offers MUST conform with all the MANDATORY REQUIRMENTS listed above.
- Any order resulting from this invitation shall contain IRS’s General Terms and Conditions (Annex C) and any other specific terms detailed with this invitation.
- Following information must be forwarded on letter head of the company.

ANNEX A
NOTES AND INSTRUCTIONS TO BIDDERS

1. Complete specifications, terms and conditions must be provided. The offered specifications should be in line with the requirements indicated in Annex B.

2. Wherever items offered are not exactly in accordance with the specifications set out or wherever alternatives are offered, it is the bidder’s responsibility to furnish their tender with full descriptive specifications and illustrations of such item(s). Erasures or other changes in the bids must be explained or noted over the signature of the bidder.

3. Country of origin should be indicated.

4. Warranty period should be indicated, a full parts replacement and free service for 2 years is required.

5. Quotation must be valid for at least 90 days. Validity period to be stated clearly.

6. Items produced in countries other than that of the bidder must be indicated stating the country of origin. (if Applicable)

7. Bidders must meet essential requirements for supplies. The quoted supplies must meet international standards and quality assurance criteria.

8. All Supplies must conform to the applicable local regulations in Pakistan.

9. Offers must clearly indicate the name and address of the manufacturer local agent (for equipment that require warranty and after sales services) who will be liable for taking care of the warranty as well as the after sales maintenance (if this is not fulfilled supplier quotation will be rejected). (if Applicable)

10. IRS reserves the right to accept only part of the items and/or quantities quoted for.

11. IRS reserves the right to accept or reject any or all bids or to annul the bidding process and reject all bids without explanation to the bidders and shall not be liable for any obligations or indemnities to bidders whatsoever. IRS also has the right, if in the interest of the project to negotiate with one or more of the bidders.

12. IRS reserves the right to have the items inspected and rejected if necessary.

13. In the event of failure by the vendor to perform under the terms and conditions of the purchase order, including but not limited to obtaining the necessary licenses or making deliveries of all or part of the awarded goods by the agreed delivery date or dates, IRS after giving the vendor reasonable notice to perform and without prejudice to any other rights or remedies, may exercise one or all of the following rights:
       a. Procure all or part of the goods from other sources, in which event IRS may hold the vendor responsible for any excess cost occasioned thereby.
       b. Refuse to accept delivery of all or part of goods.
       c. Terminate the purchase order.

14. Delivery time (in days/weeks): Please state the earliest possible delivery date.

15. Delay in delivery: In the event that delivery of the goods and services is delayed beyond the mutually agreed upon date, a penalty of 0.5% on the total value of the contract for each day of delay may be applied.

16. Full payment will be effected by IRS within 10 days after receiving goods and :
       a. Presentation of the manufacturer certificate of analysis(if applicable)
       b. Presentation of original invoice that indicate:
              Product name quantity ,unit price and total price
              Country of origin and name of the manufacturer. Packing

17. Must be suitable for the mode of transport indicated in accordance with the best practices.

18. IRS reserves the right to have at anytime the items inspected, tested for quality assurance and rejected if found not in compliance with the requested specifications. The supplier will bear all related cost of replacing the rejected purchases.

19. Arbitration clause:
Any Dispute to the interpretation or applications of this contract shall, unless amicably settled, be subject to conciliation. In the event of failure of the latter, the dispute shall be settled by arbitration. Arbitration should be conducted in accordance with the modalities to be agreed between the parties or, in the absence of agreement, with the International Chamber of Commerce(ICC) arbitration Rules in effect on the date of this Agreement. The Parties shall accept the arbitral award as final.

INCASE OF AWARD, THE ABOVE MENTIONED NOTES AND INSTRUCTIONS WILL BE INTEGRAL PART OF THE CONTRACT

ANNEX C
GENERAL CONDITIONS

1. TAX DEDUCTION:
3.5% tax shall be deducted on the invoice value.

2. INSPECTION:
The IRS reserves the right to inspect the supplies called for under this contract at any time and the firm will fford every facility for such inspection

3. PACKING:
The firm will pack the goods with the best materials and with every care in accordance with the normal commercial standards of export packing for this type of merchandise. Such packing materials used must be adequate to safeguard the goods while in transit.

4. FORCE MAJEURE:
Neither party to the contract shall be held responsible for delay in the fulfillment thereof due to force majeure, strikes, lock-out, war, civil unrest, or other factors outside its control.

5. DEFAULT:
In the case of default of the contract, including but not limited to failure or refusal to make deliveries within the time specified, the World Health Organization may by written notice terminate the right of the contractor to proceed with deliveries of such part or parts thereof as to which there has been default.

6. ARBITRATION CLAUSE:
Any claim of dispute arising out of the present contract, or breach of the said contract, and which cannot be settled amicable, shall be settled by arbitration, the methods of such arbitration to be agreed between the parties. The parties recognize that they are to be definitely bound by such arbitral decision putting an end to any claim of dispute.

7. EXECUTION OF THE CONTRACT IN CASE OF DISPUTE:
The supplier shall in no case invoke a dispute or arbitration proceedings as a pretext for suspending or failing in any way whatsoever to fulfill his obligations.
